1. Acceptance of Terms

By accessing or using the services provided by Advanced Software Systems ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

2. Description of Services

Advanced Software Systems provides an enterprise resource planning (ERP) software solution, including but not limited to modules for accounts receivable, accounts payable, payroll, time attendance, human resources, inventory, general ledger, reconciliation, and purchase orders. The software is offered as a Software as a Service (SaaS) product.

3. Account Registration and Use

  • You must provide accurate and complete information when registering for an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree to use the services only for lawful purposes.

4. Payment and Billing

  • Payments for the services are due as per the agreed pricing terms.
  • Resellers are granted a 30-day period for invoice payments.
  • Late payments may result in suspension or termination of access to the services.
  • A 10% penalty will be applied to overdue invoices.
  • If an invoice remains unpaid for 5 days past due, service suspension will occur, and full payment is required for reactivation.

5. Support and Issue Resolution

  • Each issue or request is treated separately, and resolution times are cumulative when multiple requests are received.
  • Response times start from the reported time, but reports made after 5:00 p.m. Puerto Rico time will be considered reported the next business day.
  • Critical errors affecting payroll payments or supplier invoices are treated as emergencies.

6. Data and Security

  • Users are responsible for the accuracy and legality of the data they input.
  • Advanced Software Systems implements security measures but is not liable for data breaches resulting from user negligence.

7. Service Modifications and Availability

  • The Company reserves the right to modify or discontinue the service with notice.
  • Planned maintenance will be communicated in advance when possible.

8. Termination of Services

  • The Company may suspend or terminate services for violations of these Terms.
  • No refunds will be provided for terminations due to user misconduct or policy violations.

9. Intellectual Property

  • All rights, titles, and interests in the software and services remain with Advanced Software Systems.
  • Users may not modify, distribute, or reverse-engineer any part of the software.

10. Limitation of Liability

  • The Company is not liable for indirect or consequential damages arising from service use.
  • Maximum liability is limited to the amount paid by the user in the last six (6) months.

11. Amendments to Terms

  • The Company reserves the right to update these Terms at any time.
  • Continued use of the service constitutes acceptance of the updated Terms.
